Webinar Specifications:
Teach-In webinars are live events delivered via a collaborative platform, Zoom.us. The format is an active dialog between the speaker and participants. Research papers, case studies or slides may be used but are not always necessary. Speaker will be provided with an invitation/link to join the Zoom conference in advance of the scheduled meeting. The Zoom platform will allow for screen sharing and recording and has a typed chat box feature for written questions. Participants may also unmute to speak, without assistance from the Speaker or Host. Audience:
The Teach-In audience consists of the clinical staff (physicians, nutritionists, nutrition residents) of Dr. Kara Fitzgerald, LLC, as well as 20+ participants in our Clinical Immersion Program. Immersion participants are physicians and other licensed Functional Medicine practitioners following along with the clinic, participating in grand rounds case discussions, Q&As, in-depth case reviews, as well as ‘Teach-Ins’ from industry experts such as yourself. Spirit of the Teach-In:
The purpose of these Teach-Ins is to educate, inform, and discuss. The Speaker agrees not to use the Teach-In platform for direct solicitation or advertising purposes. The Speaker also agrees to discuss any products or services he or she receives payment for only in the context of clinical learning or to answer questions posed by the audience. Assertions made by the Speaker should be either evidence-based or based on the Speaker’s clinical experience or opinion. The Speaker should clearly indicate to the audience whenever the Speaker makes an assertion that is based on clinical experience or opinion.
Copyright Permissions:
The Speaker represents and warrants to us that all materials that the Speaker presents or provides in connection with the session: (i) will constitute his or her own original work and are the intellectual property of the Speaker; (ii) will not violate or infringe any copyright, proprietary right, privacy right, other intellectual property right, or any other right of any person or entity; (iii) will be factually accurate; and (iv) will contain no libelous, defamatory, or otherwise unlawful matter. The Speaker will indemnify us and hold us harmless against any costs or liabilities that we incur in the event that any of these representations and warranties are not true.
We have express permission: (i) to make audio and/or video recordings of the Speaker’s presentations; to copy session materials provided by the Speaker for the session; and (iii) to publish, display, use, archive and distribute copies of the recordings and copies of the presentation materials using any media whatsoever, including but not limited to online-streaming, on-demand access, and other formats in any educational programs presented by us.
To protect the Speaker’s materials, we will utilize password protected video resources such as private Vimeo channels or shares materials and recordings through a private educational portal requiring a login obtained by participants of our professional education programs. We will seek to prevent unauthorized downloading and/or sharing of the Speaker’s materials.
Confidentiality:
The Speaker agrees to keep strictly confidential any confidential information disclosed to the Speaker by us or by other participants in the session, such as educational materials, innovative ideas, techniques of treatment or diagnosis, drawings/graphics, presentations, financial information, etc. Under no circumstances shall the Speaker disclose to any other person any medical information regarding any identifiable patient of ours or of Dr. Kara Fitzgerald, LLC.
Force Majeure:
Notwithstanding any other provision in this agreement, in the event that participation in the session is prevented due to unforeseen events (power failure, illness, natural disaster, etc.), neither we nor the Speaker shall be held responsible. Both parties agree to reschedule the session for a mutually-convenient date.
